Terms of Service

These Terms explain how organizations may use Prime Form Calculus as AI decision governance infrastructure for proposed actions evaluated before execution.

Acceptance of Terms

These Terms of Service govern your access to and use of the Prime Form Calculus website, the public signup flow at /v1/signup, the hosted API, and related services operated by Prime Form Calculus LLC.

By accessing or using the service, you agree to these Terms on your own behalf or on behalf of the organization you represent. If you do not agree, do not use the service.

Description of Service

Prime Form Calculus is an API-first AI decision governance service. It evaluates proposed actions before execution, returns governed outputs such as allow, deny, or review-oriented results, and may generate signed governance receipts, decision records, verification artifacts, and related audit evidence.

The service is designed for governance of automated and AI-driven decisions. It is not a consumer application and it does not replace your own business logic, review processes, or operational controls.

Execution Boundary

PFC evaluates requests and records governance outcomes at the execution boundary. PFC does not itself execute your downstream actions, change your systems of record, send your emails, move your funds, approve your users, or operate your external tools.

Decision outputs, receipts, verification artifacts, and related records are part of the service, but they do not transfer responsibility for downstream execution to Prime Form Calculus LLC. You remain responsible for whether, when, and how your production systems use those outputs.

Customer Responsibility

You are responsible for the policies you define, the systems and data sources you connect, the legality of your use of the service, the data and context you submit, and the downstream actions your systems take.

You are also responsible for reviewing and monitoring outcomes, validating that your integrations behave as intended, and deciding whether the service is suitable for your use case, including any high-risk or regulated environment. Prime Form Calculus LLC does not guarantee that any output is legally sufficient, regulator-approved, or fit for every use case unless separately agreed in writing.

API Credentials and Account Security

You are responsible for protecting API keys, login credentials, and other access tokens associated with your account. You are responsible for all activity occurring under your account, whether authorized by you or caused by inadequate credential security.

Billing and Payment

Paid access is billed under the pricing then in effect, including the current Starter plan and usage-based billing components shown on the site. You authorize Prime Form Calculus LLC and its payment processors to charge the fees associated with your account.

You are responsible for all charges incurred through your account. Unless required by law or otherwise agreed in writing, fees are non-refundable. Prime Form Calculus LLC may change pricing or billing terms on notice.

Acceptable Use

You may not use the service for unlawful activity, to violate the rights of others, to attempt unauthorized access, to interfere with the service, or to abuse platform resources. You may not submit malicious code, interfere with service integrity, or use the service in a way that creates unreasonable security, operational, or legal risk for Prime Form Calculus LLC or others.

You may not represent PFC outputs as independent legal approval, regulatory clearance, or a substitute for domain-specific review where additional controls are required.

Service Availability

Prime Form Calculus LLC does not guarantee uninterrupted, timely, secure, or error-free operation. You are responsible for designing your systems to handle outages, degraded service, delayed responses, stale context, integration failures, and other operational issues.

No Warranty

The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Prime Form Calculus LLC disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and the accuracy, completeness, reliability, or availability of service outputs.

Limitation of Liability

To the maximum extent permitted by law, Prime Form Calculus LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

Prime Form Calculus LLC is not liable for customer-defined policy errors, integration mistakes, stale or incomplete context submitted for evaluation, customer misuse of decision outputs or receipts, or downstream automation side effects. The aggregate liability of Prime Form Calculus LLC for any claim arising out of or relating to the service will not exceed the amounts you paid for the service in the twelve months before the event giving rise to the claim.

Indemnification

You will defend, indemnify, and hold harmless Prime Form Calculus LLC and its operators from claims, liabilities, damages, losses, and expenses arising out of or related to your policies, integrations, systems, use of the service, submitted data, or violation of law or these Terms.

Suspension and Termination

Prime Form Calculus LLC may suspend or terminate access at any time for violations of these Terms, abuse, security risk, legal concerns, non-payment, or operational reasons. You may stop using the service at any time, but accrued payment obligations and any provisions that by their nature should survive will continue after termination.

Modifications to Terms

Prime Form Calculus LLC may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated. Continued use of the service after the effective date of updated Terms constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the jurisdiction specified by Prime Form Calculus LLC in its contracting materials or order documentation, without regard to conflict-of-law rules. If no separate written agreement specifies a governing law, Prime Form Calculus LLC may designate the governing law in an updated version of these Terms.
